Fees are defined in the proposal/SOW. Unless otherwise stated, invoices are due upon receipt. Late payments may pause work. Third‑party costs (for example: ad spend, SaaS subscriptions, hosting, domains) are typically billed directly to you unless agreed otherwise.
5. Intellectual property
Unless otherwise agreed in writing:
- Your materials remain yours (logos, brand assets, content you provide).
- Deliverables are licensed/assigned to you upon full payment for the relevant scope.
- Pre‑existing tools and know‑how we use to deliver services remain ours.
6. Third‑party platforms
Many outcomes depend on third‑party platforms and infrastructure (for example: ad platforms, social networks, email/SMS providers, hosting, domains, and analytics tools). We are not responsible for outages, policy changes, account suspensions, or algorithm changes on those platforms.
7. Disclaimers
Marketing results can vary. We do not guarantee specific outcomes (rankings, revenue, ROAS, leads). We provide services using commercially reasonable care and proven best practices.
8. Limitation of liability
To the fullest extent permitted by law, Wisdom Weave is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits/revenue. Our total liability for any claim related to services is limited to the amount paid to us for the relevant scope during the period defined in the agreement (if any).
9. Termination
Either party may terminate a project as defined in the proposal/SOW. Upon termination, you are responsible for payment for work performed up to the termination date and any non‑cancelable costs.
